What are the documents required to open a corporate account?

A corporate (company) Demat & Trading account with Rupeezy is opened through the offline (physical forms) process, and requires the company's incorporation and KYC documents along with the KYC and authorisation documents of every authorised signatory or director. The exact list depends on whether the company and its directors already have a registered KYC.

What company documents are required?

  • Account opening form, duly filled and signed as per the company's authorisation
  • FATCA declaration
  • Board resolution on the company letterhead, authorising the opening of the account and naming the authorised signatories
  • Company PAN card copy (with company seal and authorised signatory's signature)
  • Certificate of Incorporation (with seal and signature)
  • Memorandum and Articles of Association (MOA & AOA)
  • List of directors and the latest shareholding pattern
  • Company address proof (any one of): Certificate of Incorporation, latest bank statement, utility bill, or registered lease/rent agreement (with seal and signature)
  • Bank account proof: a cancelled cheque or bank statement clearly showing the company's account number, IFSC and name

What documents are required for the authorised signatories and directors?

For each authorised signatory (and, where applicable, the whole-time / executive directors):

  • Individual PAN card copy (self-attested)
  • Individual address proof (self-attested)
  • Individual KYC form, signed by the whole-time / executive directors
  • In-Person Verification (IPV) of the authorised signatories (see the IPV section below)

What financial documents are needed?

  • Latest financial year(s') balance sheet, attested by a Chartered Accountant (with UDIN)
  • Net-worth certificate from a Chartered Accountant (with UDIN), typically required if the company is newly incorporated
  • Income tax declaration on the company letterhead

To activate the Derivatives (F&O) / Commodity segments, you'll also need to submit an income proof. This can be any one of the following: the last 6 months' bank statement, audited profit & loss statement, ITR acknowledgement, net-worth certificate, or a holding statement.

Are there any additional documents in special cases?

  • NRI directors: self-attested and notarised PAN, overseas address proof, and passport / visa copies, along with a FATCA declaration.
  • Ultimate Beneficial Owners (UBOs): anyone holding 10% or more of the shareholding must complete the UBO declaration with self-attested PAN and address proof.
  • Currency Derivatives: an RBI declaration form is required to activate this segment.

Important: If the company and its directors already have a registered KYC, fewer documents are needed. These typically include the account opening form, FATCA declaration, board resolution, MOA & AOA declaration, balance sheet, net-worth certificate, and the bank / income proofs.

How is IPV completed for a corporate account?

In-Person Verification (IPV) for a corporate account is completed offline, and it is required for all authorised signatories. You can complete it in either of these ways:

  • The authorised person visits a Rupeezy branch office to complete the IPV.
  • A Rupeezy representative visits the client's office or residence to complete the IPV.

How do I submit the documents?

Corporate accounts cannot be opened through the online paperless journey; they are processed offline. Follow these steps:

  1. Fill in the physical forms and gather all the documents listed above, signed and stamped as required.

  2. Email the soft copies of all documents to kyc@rupeezy.in.

  3. Wait for the Ops review. The team reviews your soft copies first and lets you know if any correction is needed.

  4. Courier the original documents once your soft copies are approved, along with a cheque of Rs. 1,000 from the company's bank account, to:

  5. Processing of a corporate account takes about 7 to 8 working days after the original documents are received.

Things to keep in mind

  • All copies should carry the company seal and the authorised signatory's signature where indicated.
  • Keep the details across the PAN, bank proof and board resolution consistent to avoid rework.
  • The document set can vary with the company type and KYC status, so please reconfirm the final checklist with the support team before couriering originals.
